1. GroomizFabric: Commercial Terms for Trade Buyers (Operated by Neloz Limited)
These Terms & Conditions form the basis of the commercial relationship between GroomizFabric(the seller) and its trade buyers (the purchaser). By placing an order, the purchaser confirms acceptance of these terms, which cover ordering, pricing, delivery, inspection, liability, and dispute resolution. GroomizFabricoperates under Neloz Limited and follows formal contractual practices to protect both parties in trade transactions.

2. Ordering and Minimum Order Quantity
Orders must comply with the applicable Minimum Order Quantity (MOQ) for the selected fabric SKU. MOQs are indicated in SKU specifications and adjusted based on weave complexity, finishing, and dyeing processes. Buyers intending to form ongoing supply relationships can negotiate tailored MOQs within a written agreement.

3. Price, Quotation, and Payment
Prices are provided in formal quotations and are exclusive of taxes and freight unless stated otherwise. Price validity periods are shown on the quotation; after expiry, prices are subject to revision. New buyers are typically required to make advance payments or deposits. Credit facilities may be offered to established buyers subject to credit checks and documented terms. Payment instruments accepted will be specified in the sales contract.

4. Delivery, Dispatch, and Risk Transfer
GroomizFabricwill dispatch goods within the agreed lead time where stock and production schedules permit. For bulk consignments, partial shipments may be made and invoiced separately. Risk in goods passes to the buyer on dispatch unless a different Incoterm or contractual arrangement is specified. Buyers are responsible for import duties, local taxes, and customs clearance for international shipments.

5. Inspection, Claims, and Returns
Buyers must inspect goods upon receipt and report any claim (damage, shortage, or non-conformity) within the specified claim window detailed in the sales document. Claims should include evidence and batch details. After verification, GroomizFabricwill propose remediation (replacement, credit, or refund) depending on the nature and scale of the issue.

Limitation of liability and indemnity
GroomizFabric’s liability for any claim arising from product defects or supply issues is limited to the value of the affected goods. The seller will not be liable for indirect or consequential losses, including lost profits or business interruption, except where statute requires otherwise. Buyers agree to indemnify GroomizFabricagainst claims arising from misuse or improper handling of supplied fabrics.

7. Governing law and dispute resolution
These terms are governed by Indian law and any disputes shall be subject to the jurisdiction of courts in Delhi unless agreed otherwise in writing. Parties are encouraged to seek amicable resolution through mediation prior to initiating formal legal proceedings.
